Bankable Marketplace Supplemental Terms
1. How these terms apply
1.1 These Supplemental Terms apply to your use of Bankable Marketplace at bankablemarketplace.ca and in any Bankable application that shows Marketplace listings ("Marketplace").
1.2 They form part of, and add to, the Bankable Terms of Service (the "Terms"), the Acceptable Use Policy, the Privacy Policy, the Billing Policy and the Disclaimer. Words defined in the Terms have the same meaning here.
1.3 If these Supplemental Terms conflict with the Terms on a matter specific to Marketplace, these Supplemental Terms apply to that matter. On every other matter, the Terms apply.
1.4 Marketplace is currently a free beta. Section 2 of the Terms (free betas) and section 3A of the Billing Policy apply to it.
2. What Marketplace is, and is not
2.1 Marketplace is an advertising and software service. It lets owners and registered brokers advertise commercial properties, businesses, and businesses with their real estate. Each listing is shown with a Bankable screen calculated from the figures the lister discloses.
2.2 Bankable is not a party to any transaction. We do not:
- act as a real estate or business broker, agent or representative of any buyer or seller
- negotiate, make or accept offers
- hold deposits or funds
- earn a commission, finder's fee or success fee on any transaction
Any agreement for a sale, purchase, lease or financing is made only between the people involved, and they are responsible for it.
2.3 Marketplace is not a place to offer or sell securities, to raise capital, or to solicit investors. Listings that do this are not permitted (section 5.3).
3. Who may list
3.1 You may publish a listing only if you are one of the following:
- (a) the owner of an operating business, or a person with written authority to advertise it on the owner's behalf
- (b) a real estate or business brokerage, broker or salesperson who is registered or licensed as required in the province where the property or business is located, and who holds a listing or other authority from the seller that permits the advertisement
3.2 Owner-listed property is not accepted during the beta. During the beta, investment-property listings and business-with-real-estate listings must be placed by a licensed brokerage under 3.1(b). Owners may list operating businesses only. We will tell you before this changes.
3.3 Brokerage licence verification. Before a brokerage's listings are published, Bankable staff verify its licence with the relevant provincial regulator. A brokered listing stays unpublished until verification is complete. If a verified licence later expires or is no longer in good standing, the brokerage's live listings are suspended until the licence is verified again. Brokerages must tell us promptly of any change to their licence status.
3.4 When you list, you confirm that the statement in 3.1 is true. You also confirm that publishing the listing does not breach any agreement, any exclusive listing, or your obligations to a regulator or brokerage.
3.5 We may ask for evidence of authority, identity or registration before or after a listing is published. We may refuse, pause or remove a listing if it is not provided.
3.6 During the beta, listings must be located in Canada and priced in Canadian dollars. Listings located in Quebec must include French.
3.7 You must be at least the age of majority in your province, and acting for yourself or an organization you are authorized to bind.
4. Your listing content
4.1 You are responsible for the accuracy, completeness and lawfulness of everything you submit: descriptions, prices, figures (such as NOI, SDE, EBITDA, revenue, rents and expenses), photos and any other material ("Listing Content").
4.2 The figures you disclose must be your honest, current figures. Estimates or projections must be clearly labelled as such. Any sample or illustration must say "Example listing".
4.3 You must update or remove a listing promptly when its information changes, or when the property or business is sold, leased or withdrawn.
4.4 During the beta, only public listing photos are supported. Do not upload confidential seller documents, personal information about tenants, employees or customers, or any material you are not entitled to share publicly. Use the confidential-teaser options (for example, region-only map pins) where the identity or location of a business must be protected.
4.5 You confirm that you own, or have permission to use, the Listing Content (including photos), and that publishing it does not infringe anyone's rights or breach any confidentiality obligation.
4.6 Licence to Bankable. You grant Bankable a non-exclusive, royalty-free licence, for as long as the listing is published and for a reasonable period afterwards, to:
- host, display, reproduce, format and translate the Listing Content
- calculate and display the Bankable screen on it
- promote the listing on Bankable sites and channels
You also allow us to use de-identified, aggregated listing data to operate and improve the Service. We do not claim ownership of your Listing Content.
5. Review, moderation and removal
5.1 We review listings before they are published, and we may review them at any time afterwards. Review is not verification. We do not confirm that a listing, a lister's authority or any figure is accurate, except to the extent shown by the verification label on that figure.
5.2 We may refuse to publish, pause, re-label or remove a listing, or limit a lister's account, if we reasonably believe that:
- the listing breaches these Supplemental Terms, the Terms or the law
- it is misleading or incomplete in a material way
- the lister lacks authority
- it creates a risk to users or to Bankable
Where practical, we will tell you why.
5.3 Listings may not:
- advertise securities, investment schemes, fundraising or crypto-assets
- advertise illegal businesses or activities
- contain discriminatory, deceptive or harassing content
- include personal information of others without a lawful basis
- be used to collect buyer information for unrelated purposes
The Acceptable Use Policy also applies.
6. The Bankable screen on each listing
6.1 The Bankable screen and any verdict on a listing are screening estimates calculated by our software on the figures the lister disclosed and on stated assumptions. For property listings, the screen covers coverage, loan-to-value, debt yield and a stress case on NOI. For business listings, it runs the Bankable Business engine on SDE or EBITDA.
6.2 A screen or verdict is not:
- an appraisal or valuation
- a loan approval, financing commitment or credit decision
- a recommendation to buy, sell or lend
- financial, legal, tax or professional advice
It is only as reliable as the figures behind it. Section 12 of the Terms and the Disclaimer apply.
6.3 Verification labels show how far a figure has been checked, and by what means. A figure without a verification label has not been checked.
6.4 Listers may not present a Bankable screen or verdict as an appraisal, a lender's approval or an endorsement by Bankable, including in material outside Marketplace.
7. Buyers and other users
7.1 Buyers must do their own due diligence and obtain independent professional advice (legal, accounting, tax, appraisal, environmental, lending) before relying on any listing or making any offer. Bankable does not verify buyers' identity, funds or financing.
7.2 Contact with a lister through Marketplace (enquiries, messages, NDA requests) must be genuine and relate to the listed opportunity.
8. NDA requests and confidential information
8.1 A buyer may submit an NDA request, and a seller or broker may approve or revoke it. Any non-disclosure agreement is between the buyer and the seller (or the seller's broker). Bankable is not a party to it and does not enforce it.
8.2 An approval record in Marketplace confirms only that the request was approved. During the beta, it does not unlock files, and no confidential documents are exchanged through Marketplace.
8.3 Confidential document rooms are coming soon. Additional terms for document rooms will be published before they are made available, and will apply when you use them.
9. Enquiries, leads and buyer information
9.1 Listers receive buyer enquiries, messages and engagement information for their listings.
9.2 A lister may use a buyer's contact details only to respond to that buyer about the listed opportunity, unless the buyer separately consents to more. The lister must comply with Canadian privacy and anti-spam law, and must not sell or share buyer information.
9.3 How Bankable handles personal information in Marketplace is described in the Privacy Policy.
10. Fees
10.1 During the beta, listing plans are free. There is no live checkout and no commission.
10.2 When paid listing plans are introduced, they will be sold per listing. The price, duration and features will be shown before purchase. They will be governed by the Billing Policy, including section 3A on the end of a beta.
10.3 Listing plans do not count toward, and do not receive, the multi-app discount. Browsing listings is free for buyers.
10.4 Nothing in Marketplace, including any successful sale, gives rise to a commission or success fee payable to Bankable.
11. Moving a listing into another Bankable application
11.1 Where the receiving application offers it, a member may move a listing's published figures into their own Deal File:
- business listings go to Bankable Business
- property listings go to Bankable Properties
The move uses a link or code that works once and lasts 30 minutes, or a downloadable file. The receiving application shows what will be brought in before anything is saved. The receiving application may require you to sign in.
11.2 Only the listing's published figures and model tags are moved. Photos, confidential information, NDA records and buyer information are not.
11.3 The copy belongs to the member who made it, as described in section 6 of the Terms. The lister's figures remain the lister's responsibility, and a copy carries no verification beyond what was shown on the listing at the time.
11.4 A move may be offered in one application before another. Each listing shows which moves are currently available.
12. Liability
12.1 Sections 12 (disclaimers), 13 (limitation of liability) and 14 (indemnity) of the Terms apply to Marketplace. During the beta, section 2 of the Terms (free betas) also applies.
12.2 Without limiting those sections, Bankable is not responsible for:
- the Listing Content or the accuracy of any lister's figures
- the conduct of buyers, sellers, brokers or other users
- any transaction or negotiation, or the failure of one
- any decision made on the basis of a listing or a Bankable screen
12.3 Indemnity by listers. In addition to section 14 of the Terms, a lister will defend and indemnify Bankable against third-party claims arising from that lister's Listing Content, lack of authority or registration, or breach of these Supplemental Terms.
12.4 Nothing in these Supplemental Terms limits rights that cannot be limited under applicable consumer protection law, including Ontario consumer protection legislation and Quebec's Consumer Protection Act where it applies to you.
13. Ending a listing or your use of Marketplace
13.1 You may withdraw a listing at any time. Withdrawn listings are removed from public view promptly. Records are kept as described in the Privacy Policy.
13.2 Section 15 of the Terms applies to suspension and termination of accounts.
14. Changes
We may change these Supplemental Terms in the same way as the Terms (section 16 of the Terms), including the notice we give for material adverse changes.
15. Contact
Marketplace questions and reports of a listing that breaches these terms: hello@bankable.properties. Legal notices: legal@bankable.properties.
