No Financial or Investment Advice Disclaimer
Part A — What Bankable is
Bankable is software. It performs arithmetic and financial calculations on assumptions and data that you choose and enter, and presents the results in structured models, reports and proformas across residential, multi-family, mixed-use, commercial, industrial, self-storage, student-housing, syndication and development scenarios.
Bankable is a calculator and modelling environment. Its purpose is to help you organize your own analysis and test your own assumptions faster and more consistently than a spreadsheet.
Part B — What Bankable is not
Bankable, and every output it generates, is not, and must not be treated or represented as:
- investment advice, a recommendation, or a solicitation to buy, sell, hold, finance, refinance, syndicate, develop or lease any property or security;
- an appraisal, an appraisal report, a valuation, or a statement of value or of market value, and it is not prepared by, reviewed by, or in accordance with the standards of any appraisal institute or professional valuation body;
- a financing commitment, credit decision, term sheet, loan approval, or indication of lender appetite, and no output has been reviewed, approved, or "pre-approved" by any bank, lender, credit union, mortgage broker or insurer;
- tax, accounting, legal, planning, engineering, environmental, construction-cost, insurance, or real-estate brokerage advice;
- a due diligence report, a property condition assessment, or a substitute for any of them;
- an offering document, prospectus, offering memorandum, or subscription document, or any part of one;
- a guarantee, warranty, or prediction that any modelled return, cash flow, occupancy, rent, expense, exit price, cap rate, IRR, equity multiple, debt-service coverage, or refinancing will be achieved or is achievable;
- a verification of any input, assumption, market figure, rent roll, expense statement, tax rate, or third-party data used in a model.
Bankable Technologies Inc. is not a registered dealer, adviser, investment fund manager, exempt market dealer, appraiser, real-estate brokerage, mortgage brokerage, or financial institution in any jurisdiction, and does not hold itself out as any of those.
Part C — Your responsibilities
By using Bankable, you acknowledge and agree that:
- Every output depends entirely on your inputs. Assumptions about rent, vacancy, expenses, capital expenditure, interest rates, amortization, refinancing, absorption, construction cost, exit cap rate, timing and taxation are selected by you. Different assumptions produce materially different results. Small changes can change a modelled outcome dramatically.
- Default and suggested values are illustrative only. Any default, template, benchmark, or example value in the Service is provided for convenience and is not a recommendation, a market representation, or a statement that the value is appropriate for your property or transaction.
- Third-party data may be inaccurate, incomplete, or out of date. Where the Service displays or incorporates market, rate, tax, or property data from third parties, we do not verify it and are not responsible for it.
- Projections are hypothetical. Modelled future performance is not a forecast and has no predictive value. Past or comparable performance does not indicate future results. Real-estate investment involves substantial risk, including risk of total loss of capital, illiquidity, leverage risk, interest-rate risk, tenancy and credit risk, construction and entitlement risk, regulatory and rent-control risk, and market cyclicality.
- You must obtain your own professional advice from a qualified accountant, tax adviser, lawyer, appraiser, mortgage professional, engineer, and any other appropriate professional, and conduct your own independent due diligence, before making or committing to any decision. Do not rely on Bankable for any decision.
- You are solely responsible for every decision you make and for every representation you make to any lender, investor, client, partner, tenant, vendor, purchaser, regulator, or court.
- Regulatory and professional obligations are yours. If you are a licensed broker, agent, mortgage professional, appraiser, dealer, adviser, or fiduciary, you remain fully responsible for your own compliance, including standards of care, disclosure, suitability, know-your-client, and record-keeping obligations. Using Bankable does not satisfy, transfer, or reduce any of those obligations.
- Raising capital from investors is regulated. If you use an output in connection with an offering of securities — including a syndication, a limited-partnership interest, a joint venture, or a mortgage investment — you are responsible for compliance with all applicable securities laws, and Bankable outputs are not, and must not be included in or presented as, an offering document without independent legal review.
- You will not remove or obscure any disclaimer appearing on any output, and you will pass this Disclaimer on to anyone to whom you provide an output.
Part D — Short-form notice for reports and exports
Reproduce the following, verbatim and legibly, in the footer of every page of every exported PDF, spreadsheet, printed report, and shared web link generated by the Service:
Illustrative model only — not advice, not an appraisal, not a financing commitment. Generated by Bankable (bankable.properties) from assumptions entered by the user. Bankable Technologies Inc. has not verified any input, assumption or third-party figure, does not endorse this analysis, and makes no representation that any projected result will be achieved. Projections are hypothetical and are not a forecast. Real-estate investment involves risk, including loss of capital. Obtain independent professional advice and conduct your own due diligence before making any decision. Do not remove this notice.
Part E — Governing terms
This Disclaimer is subject to the limitation of liability and indemnity provisions of the Terms of Service, is governed by the laws of Ontario and the laws of Canada applicable in Ontario, and does not exclude any liability or right that applicable law does not permit to be excluded. Nothing here excludes liability for fraud or fraudulent misrepresentation.
